1. These terms
These terms govern your use of okayo (the "Service"), operated by [COUNSEL: registered company name and legal form], [COUNSEL: company registration number], of [COUNSEL: registered address] ("we", "us"). By using the Service you accept them. If you are accepting on behalf of an organisation, you confirm you are allowed to bind it.
2. What the Service is
okayo is an autonomous marketing operator. For each brand you set up, it can research, write, generate images and video, schedule and publish to accounts you connect, send email from a sending domain you verify, read back metrics and inbound comments, and learn from what you approve and edit. It runs on a cadence you control, and it can be paused.
The Service changes. We add, alter and remove features. We will not make a change we know to be materially adverse to you without telling you.
3. Your account
Keep your sign-in credentials to yourself, and keep the list of people with access to your organisation current. You are responsible for what happens under your account and for the roles you grant. Tell us promptly if you think an account has been compromised.
4. Connected accounts and what gets published
When you connect a social account, a shop, a CMS or a sending domain, you are instructing us to act on it for you. That means:
- You must own the account, or be authorised by its owner to connect it.
- Anything okayo publishes there is published as you. You are responsible for it towards your audience, towards the platform, and towards anyone else.
- You must comply with each platform's own rules. A platform can suspend or remove your account for something okayo posted on your instruction, and we cannot undo that.
- You control the approval settings, the autonomy level and the pause switch. If you let the agent publish without review, that is your decision and its output is still your content.
5. AI-generated content
okayo uses AI models. Their output can be wrong, biased, out of date, or similar to someone else's work. We do not warrant that generated content is accurate, original, or safe to publish. Review before you publish, especially anything factual, regulated, comparative or about a named person. You keep the same responsibility for AI-generated content that you have for content you wrote yourself.
6. Your content
Your brand material and everything okayo produces for you stay yours, as between you and us. You give us the permission we need to host, process, transmit and generate from that material in order to run the Service for you — nothing broader.
We keep ownership of the Service itself: the software, the interface, and our own models, prompts and infrastructure.
We do not train shared models on your content. What okayo learns from your brand belongs to that brand.
7. Acceptable use
Do not use the Service to:
- Break the law, or help someone else break it.
- Send spam, or publish content designed to deceive.
- Impersonate a person or an organisation, or misrepresent AI-generated content as something it is not where the law requires disclosure.
- Infringe someone else's intellectual property or privacy.
- Publish hateful, harassing, or sexually exploitative content.
- Try to reach data belonging to another customer, or probe, scrape or overload the Service.
- Connect an account you are not authorised to use, or upload material you have no right to.
If you break these rules we may suspend the Service, or the specific capability involved, to stop ongoing harm. We will tell you why.
8. Fees and billing
What you pay, how often, and on what notice, is set out in your order form or invoice. [COUNSEL: billing model, payment terms, late payment, price changes, taxes, refunds and cancellation]
9. Availability
We work to keep okayo running, but we do not offer a service level agreement and we do not promise uninterrupted availability. The Service depends on third parties — hosting, model providers, social platforms, email infrastructure — and their outages become ours. We may take the Service down for maintenance.
Some things are outside our control entirely: a platform can change its API, rate-limit us, or refuse a post. When that happens, okayo should tell you rather than pretend it worked.
10. Ending the agreement
You can stop using the Service and ask us to close your account. We may end the agreement if you materially breach these terms and do not fix it after we ask.
Ask us for an export before you leave, and we will provide your brand data. After the account is closed we delete it. [COUNSEL: notice periods for termination on each side, the window for post-termination data export, and effect on prepaid fees]
11. Our liability
We provide the Service as it is. We are not liable for lost profit, lost revenue, lost data, or indirect or knock-on losses. We are not liable for what you publish, for a platform's response to it, or for a decision you took based on AI output.
Our total liability for any claim is capped at the fees you paid us in the period before the claim. [COUNSEL: the liability cap and reference period, the carve-outs that cannot be excluded under applicable law, and whether an indemnity is given]
12. Changes to these terms
We may update these terms. For a material change we will give notice before it takes effect, and continuing to use the Service after that means you accept it. [COUNSEL: notice period for material changes]
13. Governing law
[COUNSEL: governing law and the courts that have jurisdiction]
14. Contact
Questions about these terms: use the contact form, or email [COUNSEL: the legal contact address to publish].
